RFI Portal Terms of Use
This Portal for Law Enforcement Authorities Terms of Use (“Terms of Use”) forms a binding legal agreement between you (used hereof as “You” or “Your”) and Paysafe Holdings UK Limited*, a company duly registered under the laws of England and Wales under company number 03202517 whose registered office is at 25 Canada Square, London, England, E14 5LQ (collectively referred as “Paysafe”, “We”, “Us”, “Ours” or other similar pronouns), hereof referred as “Parties”.
BY USING THE PAYSAFE PORTAL FOR LAW ENFORCEMENT AUTHORITIES (“LAW ENFORCEMENT PORTAL”), YOU (A) ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THESE TERMS OF USE; (B) REPRESENT THAT YOU ARE OF LEGAL AGE TO ENTER INTO A BINDING AGREEMENT; (C) REPRESENT YOU HAVE THE NEEDED LEGAL AUTHORIZATION TO USE THE PAYSAFE LAW ENFORCEMENT PORTAL AND (D) ACCEPT THESE TERMS OF USE AND AGREE THAT YOU ARE LEGALLY BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE LAW ENFORCEMENT PORTAL.
1. Scope of these Terms of Use
- 1.1 These Terms of Use govern the opening, maintenance, and closure of your Paysafe Law Enforcement Portal account.
- 1.2 In order to use the Paysafe Law Enforcement Portal You must firstly open an account by registering Your details and submitting an application on the Paysafe Law Enforcement Portal. As part of the signup process You will need to accept these Terms of Use and Our Privacy Notice, and You must have legal capacity to accept the same.
- 1.3 All information You provide during the application process, or any time thereafter must be accurate and truthful.
- 1.4 You are solely responsible for the security of Your Paysafe Law Enforcement Portal account. You are entirely responsible for maintaining the confidentiality of Your Paysafe Law Enforcement Portal login details.
- 1.5 If You have any indication or suspicion of Your Paysafe Law Enforcement Portal login details being lost, stolen, misappropriated, used without authorisation or otherwise compromised, You are advised to change Your password.
- 1.6 We may suspend your Paysafe Law Enforcement Portal or otherwise restrict its functionality on reasonable grounds relating to the security of the Paysafe Law Enforcement Portal account if we reasonably suspect that an unauthorised or fraudulent use of your Paysafe Law Enforcement Portal account has occurred. We will notify You of any suspension or restriction and of the reasons for such suspension or restriction in advance or, where we are unable to do so, immediately after the suspension or restriction has been imposed, unless notifying You would be unlawful or compromise our reasonable security interests.
- 1.7 Paysafe reserves the right, in its sole discretion, to reject any Paysafe Law Enforcement Portal account application by sending a written notice to the email address provided during the Paysafe Law Enforcement Portal account application process.
- 1.8 Paysafe reserves the right, in its sole discretion, to reject your Paysafe Law Enforcement Portal account application or to suspend or terminate your Paysafe Law Enforcement Portal account at any time if Paysafe believes to be required to do so by law or in order to comply with recommendations issued by a relevant government authority or recognised body for the prevention of any type of crime.
- 1.9 Paysafe reserves the right to require You to provide additional evidence confirming the accuracy of the information provided during the application process and may at its sole discretion terminate Your Paysafe Law Enforcement Portal account if such evidence is not provided within a reasonable time stipulated by Paysafe or if Paysafe (acting reasonably) is not satisfied with the evidence provided.
2. Limitation and Restrictions of Use
You shall not:
- (a) Copy the Paysafe Law Enforcement Portal, except as expressly permitted hereby;
- (b) Modify, translate, adapt or otherwise create derivative works or improvements, whether or not patentable, of the Paysafe Law Enforcement Portal;
- (c) Reverse engineer, disassemble, decompile, decode or otherwise attempt to derive or gain access to the source code of the Paysafe Law Enforcement Portal or any part thereof;
- (d) Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer or otherwise make available the Paysafe Law Enforcement Portal or any features or functionality of the Paysafe Law Enforcement Portal, to any third party for any reason, including by making the Paysafe Law Enforcement Portal available on a network where it is capable of being accessed by more than one device at any time; or
- (e) Remove, disable, circumvent, or otherwise create or implement any workaround to any copy protection, rights management or security features in or protecting the Paysafe Law Enforcement Portal
3. Changes to Agreement
Paysafe reserves the right to modify the Terms of Use at any time in its own reasonable discretion. Paysafe shall post the most up to date version of the Terms of Use here. The changes shall become effective when published. You understand and agree that Your acceptance of these Terms of Use or Your use of the Paysafe Law Enforcement Portal after the date of publication of varied terms shall constitute Your agreement to and acceptance with the terms and conditions contained herein.
4. Updates
Paysafe may from time to time and in its sole discretion develop and provide Paysafe Law Enforcement Portal updates, which may include upgrades, bug fixes, patches and other error corrections and/or new features (collectively "Updates"). Updates may also modify or delete in their entirety certain features and functionalities. You agree that Paysafe has no obligation to provide any Updates or to continue to provide or enable any particular features or functionality.
5. No included maintenance and support
Paysafe may deploy changes, updates or enhancements to the Paysafe Law Enforcement Portal at any time and in its sole discretion. Paysafe may provide maintenance and support for the Paysafe Law Enforcement Portal but has no obligations whatsoever to furnish such services to You and may terminate such services at any time without notice.
Disclaimer of Warranties
You expressly acknowledge and agree that the use of Paysafe Law Enforcement Portal is at Your sole risk and the entire risk as to satisfactory quality, performance, accuracy and effort is with You. To the maximum extent permitted by applicable law, Paysafe’s Law Enforcement Portal is provided “as is” and “as available”, without warranty of any kind, and We hereby waive all warranties and conditions with respect of the service, either express, implied or statutory, including, but not limited to, the implied warranties and/or conditions of merchantability, of satisfactory quality, of fitness for a particular purpose, of accuracy, of quiet enjoyment, and noninfringement of third party rights. We do not warrant against interference or error-free, or that defects in the service will be corrected. No oral or written information or advice given by Us shall create a warranty. Should the service cause any defects to Your device, You assume the entire cost of all necessary servicing, repair or correction.
6. Limitation of Liability
TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL PAYSAFE BE LIABLE FOR PERSONAL OR BODILY INJURY, OR ANY INCIDENTAL, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, LOSS OF DEVICE, BUSINESS INTERRUPTION OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICE, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT OR OTHERWISE) AND EVEN IF PAYSAFE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7. Indemnification
You agree to indemnify, defend and hold harmless Paysafe and its officers, directors, employees, agents, affiliates, successors and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys' fees, arising from or relating to your use or misuse of the Paysafe Law Enforcement Portal or Your breach of the Terms of Use.
8. Termination
- 8.1 You may deactivate your Paysafe Law Enforcement Portal account at any time without providing any notice to Paysafe.
- 8.2 Without prejudice to any other rights stipulated herein, Paysafe reserves the right, in its sole discretion, to terminate Your Paysafe Law Enforcement Portal account rights without notice if you fail to comply with the Terms of Use stipulated herein. Upon termination of the Paysafe Law Enforcement Portal account, regardless of the reason, you must cease all use of the Paysafe Law Enforcement Portal.
9. Severability
If any provision or part-provision of the Terms of Use is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part- provision shall be deemed deleted. Any modification to or deletion of a provision or part- provision under this clause shall not affect the validity and enforceability of the rest of the Terms of Use.
10. Governing Law
- 10.1 This agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of England and Wales.
- 10.2 Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this agreement or its subject matter or formation.
